Service Agreement

​This Service Agreement ("Agreement") is entered into on [Insert Date] by and between:

1. Scope of Services

The Consultant agrees to provide general business consulting and AI workflow development services, including but not limited to:

GENERAL CONSULTING

• Systems goal and process analysis

• Installation of packaged solution

• Initial Training

 

WORKFLOW SETUP

• Design and implementation of automation workflow(s)

• Integration with existing systems and platforms (if applicable)

• Testing and Validation
   

WORKFLOW ENHANCEMENT

• Review of current WORKFLOW SETUP

• Analysis of future state

• Modifications as approved by Client​

2. Deliverables

The Consultant will deliver:

• General project plan, timeline, workflow(s) per purchased service.
   

3. Timeline

Services will commence on [Start Date] and conclude on [End Date], unless extended by mutual agreement.

4. Compensation

Client agrees to pay:

• A fixed fee of $100, $200, $300 according to services purchased

• Hourly rate per hour as specified by service, based on mutual agreement

** Invoices are due within 30 days of receipt.
 

5. Intellectual Property

All intellectual property developed during the engagement shall be owned by:

• Joint Ownership - Any pre-existing IP remains the property of its original owner.
   

6. Confidentiality

Both parties agree to maintain confidentiality of all proprietary information exchanged during the engagement.

7. Termination

Either party may terminate this Agreement within 24hrs of signature. Upon termination, Consultant shall deliver completed work and Client shall pay for services rendered.

8. Liability

Consultant shall not be liable for indirect or consequential damages. Total liability shall not exceed the total fees paid under this Agreement.

​

9. Dispute Resolution

Any disputes shall be resolved through arbitration in San Diego, California. 

​

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California. The parties irrevocably submit to the exclusive jurisdiction of the courts located in San Diego County, California
